Corporate Transactions

Perhaps the most company-critical events are corporate transactions - mergers and acquisitions, joint ventures, financing and investment transactions and similar matters.  The Firm can advise on the purchase and sale of businesses, business assets and lines of business; structure joint ventures and other transactions with business partners; help review and negotiate venture capital and other equity investments in the company; and handle various forms of financing transactions, including bank credit facilities and issuances of debt securities.

Intellectual Property

As a company employee, you may often be asked to sign an agreement with the company,.  This may take the form of an employment agreement, an equity award or option agreement, a change in control or retention agreement or a severance agreement and waiver of claims.  The firm can help review these agreements and identify any traps, both with respect to your rights and any negative tax implications, and then negotiate with your company if needed.  Non-disclosure, non-compete, and non-solicit agreements and provisions are also areas of importance for executives and other employees, and the firm has significant experience with these matters as well.  

The firm can provide advice on copyrights or trademarks for your intellectual property and whether to register such IP.  The firm does not seek patent protection through the US Patent and Trademark Office but can help with patent protection strategies.  The firm also has significant experience with IP licensing transacations.
